CUSTOM COMMERCIAL LICENSE AGREEMENT

This software (“Software”), including source code, compiled binaries, documentation, and all associated materials, is licensed, not sold. By installing, copying, accessing, or otherwise using the Software, you (“Licensee”) agree to be bound by the terms of this Commercial License Agreement (“Agreement”).

1. Grant of License

Subject to the terms of this Agreement, Licensor grants Licensee a non-exclusive, non-transferable, non-sublicensable, revocable license to:

Use the Software for development and integration within Licensee’s own projects.

Distribute compiled applications that incorporate the Software, provided the Software itself is not redistributed in source or binary form.

No other rights are granted unless explicitly stated.

2. Restrictions

Licensee shall not, directly or indirectly:

Copy, modify, adapt, or create derivative works of the Software except as required for integration.

Redistribute, publish, or disclose the Software or any part of its source code.

Sell, sublicense, rent, lease, or loan the Software.

Reverse engineer, decompile, or disassemble the Software.

Remove proprietary notices or branding.

Use the Software to create or support competing products.

Any unauthorized use automatically terminates this license.

3. Ownership

The Software is proprietary to the Licensor.
All rights not expressly granted in this Agreement remain reserved by the Licensor.

4. Confidentiality

The Software contains confidential and trade-secret information.
Licensee agrees to maintain strict confidentiality and prevent unauthorized access or disclosure.

5. Updates & Support

Licensor may, at its discretion, provide updates, patches, or fixes.
This Agreement does not obligate Licensor to provide support, updates, or maintenance.

6. Limitation of Liability

To the maximum extent permitted by law:

The Software is provided “AS IS” WITHOUT WARRANTY OF ANY KIND.

Licensor shall not be liable for any damages, including direct, indirect, incidental, consequential, loss of business, or loss of data.

7. Termination

This license terminates immediately if Licensee:

breaches any part of this Agreement,

attempts unauthorized distribution or disclosure,

or uses the Software in prohibited ways.

Upon termination, Licensee must cease using the Software and destroy all copies.

8. Governing Law

This Agreement is governed by and interpreted according to the laws of YOUR COUNTRY / STATE.
