CUSTOM COMMERCIAL LICENSE AGREEMENT

This Commercial License Agreement (“Agreement”) governs the use of the proprietary software, including source code, binaries, libraries, documentation, and related materials (“Software”) provided by Kruzr Technology Solutions (“Licensor”). The Software is licensed, not sold.

By installing, copying, integrating, or otherwise using the Software, you (“Licensee”) acknowledge that you have read, understood, and agreed to be bound by this Agreement. If you do not agree, do not install or use the Software.

GRANT OF LICENSE
Subject to full compliance with this Agreement, Licensor grants Licensee a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:
(a) Use the Software internally for development and integration within Licensee’s own applications; and
(b) Distribute compiled applications that incorporate the Software, provided that the Software itself, in whole or in part, is not redistributed in source, binary, library, or standalone form.
No additional rights or licenses are granted except as expressly stated herein.

RESTRICTIONS
Licensee shall not, directly or indirectly:
• Copy, modify, translate, adapt, or create derivative works of the Software;
• Redistribute, publish, disclose, or make the Software available to any third party;
• Sell, sublicense, rent, lease, loan, transfer, or otherwise monetize the Software or access to it;
• Reverse engineer, decompile, disassemble, or attempt to derive its source code;
• Remove or alter proprietary notices, watermarks, or branding;
• Use the Software to develop or support competing products or services;
• Circumvent access controls, license enforcement, or security features.
Any unauthorized use constitutes a material breach and automatically terminates this license.

OWNERSHIP
The Software is proprietary to Licensor and protected by intellectual property laws. All rights not expressly granted are reserved by Licensor.

CONFIDENTIALITY
The Software contains confidential and trade-secret information. Licensee agrees to maintain strict confidentiality and prevent unauthorized access or disclosure.

UPDATES & SUPPORT
Licensor may provide updates, patches, or improvements at its sole discretion. This Agreement does not obligate Licensor to provide support, maintenance, updates, or compatibility guarantees.

WARRANTY DISCLAIMER & LIMITATION OF LIABILITY
The Software is provided “AS IS”, without warranty of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
To the fullest extent permitted by law, Licensor shall not be liable for any damages, including direct, indirect, incidental, consequential, business interruption, loss of revenue, or data loss arising out of the use or inability to use the Software.

TERMINATION
This Agreement terminates immediately if Licensee:
• Breaches any provision of this Agreement;
• Attempts unauthorized use, access, or distribution; or
• Uses the Software in any prohibited manner.
Upon termination, Licensee must immediately cease all use of the Software and permanently delete all copies.

GOVERNING LAW & JURISDICTION
This Agreement is governed by and interpreted in accordance with the laws of India.
All disputes shall be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, unless otherwise agreed in writing.

By installing or using the Software, Licensee agrees to be bound by this Agreement. If Licensee does not accept these terms, Licensee must not access, install, or use the Software.
