#### 1. Ownership and Grant of License
Fundsroom Investment Services Pvt. Ltd. ("Fundsroom") retains all rights, title, and interest in and to the software ("Software"), including all intellectual property rights. Fundsroom grants the user ("Licensee") a limited, non-exclusive, non-transferable, revocable license to use the Software solely for its intended purpose, subject to the terms of this agreement.

#### 2. Restrictions
Licensee may not:  
- Copy, modify, distribute, sublicense, or sell the Software without prior written consent from Fundsroom.  
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except where permitted by applicable law.  
- Use the Software in any manner that violates applicable laws or regulations.

#### 3. Termination
Fundsroom reserves the right to terminate this license at any time for any reason. Upon termination, the Licensee must cease all use of the Software and destroy all copies of the Software in their possession.

#### 4. Disclaimer of Warranties
The Software is provided "as is" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

#### 5. Limitation of Liability
To the fullest extent permitted by applicable law, Fundsroom shall not be liable for any damages, including but not limited to direct, indirect, incidental, special, or consequential damages, arising out of or related to the use or inability to use the Software.

#### 6. Governing Law
This agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law principles.
