### Commercial License Agreement

This Commercial License Agreement ("Agreement") is made and entered into by and between:

### 1. Grant of License
The Licensor hereby grants the Licensee a non-exclusive, non-transferable, and revocable license to use the software azakaw ("Software") for commercial purposes, subject to the terms and conditions of this Agreement.

### 2. License Scope
- The Software may be used only for commercial purposes within the scope defined by the Licensor.
- The Licensee may not redistribute, sublicense, or sell the Software without the prior written consent of the Licensor.
- The Licensee may modify the Software only as explicitly permitted by the Licensor in writing.

### 3. Intellectual Property
- The Licensor retains all rights, title, and interest, including any intellectual property rights, in and to the Software.
- Any modifications, improvements, or derivative works created by the Licensee will be owned by the Licensor, and the Licensee assigns to the Licensor any rights to such modifications.

### 4. License Fees
- The Licensee agrees to pay the Licensor for the use of the Software.
- Any additional fees for updates, maintenance, or support will be outlined in a separate agreement.

### 5. Term and Termination
- This Agreement is effective as of the Effective Date and will remain in effect until terminated.
- Either party may terminate this Agreement upon written notice if the other party breaches any material terms of this Agreement.
- Upon termination, the Licensee must immediately cease using the Software and destroy all copies in their possession.

### 6. Warranties and Disclaimers
- The Software is provided "as-is" without any warranties, express or implied.
- The Licensor does not warrant that the Software will meet the Licensee's requirements or be error-free.
- The Licensor will not be liable for any damages arising from the use or inability to use the Software.

### 7. Confidentiality
The Licensee agrees to keep all proprietary and confidential information regarding the Software, including its source code, documentation, and trade secrets, confidential and not to disclose it to third parties without the prior written consent of the Licensor.

### 8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws.
